Welcome to Odin Labs. These Terms of Service ("Terms") govern your access to and use of the Odin Labs website, ODIN platform, and related services (collectively, the "Services"). Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services. Privacy Policy.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Odin Labs provides the ODIN platform: autonomous AI agent services designed to help engineering teams automate complex tasks. Our Services include:

• AI-powered task automation and execution
• Code analysis, review, and generation tools
• Integration with third-party development platforms
• Documentation and support resources

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

To access certain features of the Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. User Obligations

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Use the Services for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of the Services
• Resell, sublicense, or redistribute the Services without authorization

5. Intellectual Property

Our Intellectual Property

The Services, including the ODIN platform, all content, features, and functionality, are owned by Odin Labs and are protected by copyright, trademark, patent, and other intellectual property laws. You may not use our trademarks, logos, or branding without prior written consent.

Your Content

You retain ownership of any content you submit to the Services. By submitting content, you grant us a limited license to use, process, and store that content as necessary to provide the Services.

AI-Generated Output

Subject to your compliance with these Terms and payment of applicable fees, you own the output generated by our AI agents from your inputs, except where such output incorporates our pre-existing intellectual property.

6. Payment and Billing

Certain Services require payment. By subscribing to a paid plan, you agree to:

• Pay all fees according to your selected plan
• Provide accurate billing information
• Authorize us to charge your payment method

Fees are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change pricing with 30 days' notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY DUTCH AND EU LAW:

• THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
• IN NO EVENT SHALL ODIN LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM

These limitations do not affect your statutory consumer rights under Dutch and EU law, including rights under the Consumer Rights Directive.

8. Indemnification

You agree to indemnify, defend, and hold harmless Odin Labs and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you submit to the Services

9. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Services

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any disputes arising from these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, Netherlands. However, if you are a consumer resident in the EU, you retain the right to bring proceedings in your country of residence.

11. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Odin Labs regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our prior written consent.
